GOATHEAD / GRAVEPARK TERMS OF SERVICE

Welcome to GravePark, an interactive entertainment property of Goathead Media, a division of Goathead, based in Los Angeles, California.

These Terms of Service (“Terms”) govern your access to and use of GravePark, Goathead websites, applications, games, digital experiences, software, media, content, products, and related services operated or made available by Goathead or Goathead Media (collectively, the “Service”).

For purposes of these Terms, “Goathead,” “Goathead Media,” “GravePark,” “we,” “us,” and “our” refer to Goathead and its applicable divisions, affiliates, operators, licensors, and authorized representatives.

PLEASE READ THESE TERMS CAREFULLY

BY ACCESSING, DOWNLOADING, INSTALLING, PLAYING, PURCHASING FROM, OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE.

1. THE SERVICE

GravePark is a video game and entertainment property developed and operated through Goathead Media.

The Service may include the GravePark game, future chapters, updates, downloadable content, websites, digital products, audiovisual content, music, characters, environments, artwork, merchandise, artist integrations, virtual items, promotional experiences, and related Goathead Media services.

Goathead may add, remove, modify, suspend, or discontinue features of the Service at any time.

2. ELIGIBILITY

You must be at least 13 years old to use the Service.

If you are under the age of legal majority in your jurisdiction, your parent or legal guardian must authorize your use where required by law.

By using the Service, you represent that you meet applicable age requirements, are legally permitted to accept these Terms, and will use the Service in compliance with applicable laws.

If you access the Service on behalf of a company, artist, organization, label, agency, or other entity, you represent that you have authority to bind that entity to these Terms.

3. ACCOUNTS

Certain features may require an account.

You agree to provide accurate information and maintain the security and confidentiality of your login credentials.

You are responsible for activity conducted through your account.

You may not impersonate another person, access another user’s account without authorization, create accounts using fraudulent information, or circumvent a suspension or termination.

4. LIMITED LICENSE

Subject to your continued compliance with these Terms, Goathead grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use GravePark and the Service for personal, non-commercial entertainment purposes.

Your use of GravePark does not give you ownership of GravePark, Goathead intellectual property, or any content contained in the Service.

All rights not expressly granted are reserved by Goathead and its licensors. This follows the limited-license structure of the reference terms.

5. OWNERSHIP AND INTELLECTUAL PROPERTY

GravePark and the materials made available through the Service are owned, licensed, or controlled by Goathead, Goathead Media, or their respective licensors.

This includes, where applicable, the GravePark name, Goathead names and logos, characters, fictional locations, stories, dialogue, artwork, photographs, graphics, animations, environments, three-dimensional models, textures, cinematics, level designs, user interfaces, software, source code, object code, websites, sounds, music owned or commissioned by Goathead, promotional materials, trailers, merchandising designs, trade dress, and other creative or technical materials.

Certain music, recordings, artwork, likenesses, trademarks, performances, or other materials appearing within GravePark may remain the property of independent artists, licensors, or other third-party rights holders.

Except where expressly authorized in writing, nothing in these Terms transfers ownership of any Goathead or third-party intellectual property to you.

6. RESTRICTIONS

Except where applicable law expressly permits otherwise, you may not reproduce, distribute, sell, sublicense, commercially exploit, reverse engineer, decompile, disassemble, extract, modify, or create unauthorized derivative versions of the Service.

You may not extract or redistribute GravePark source code, object code, three-dimensional models, textures, artwork, sounds, recordings, animations, game files, unpublished materials, development assets, or other proprietary content.

You may not circumvent security systems, technological protection measures, account restrictions, access controls, or other technical limitations.

You may not create, distribute, or use cheats, exploits, bots, injectors, unauthorized modifications, trainers, or software intended to interfere with the normal operation of GravePark.

7. SCREENSHOTS, GAMEPLAY AND FAN CONTENT

Goathead permits reasonable use of publicly released GravePark footage and screenshots for commentary, reviews, social media posts, gameplay videos, livestreaming, editorial coverage, and non-commercial fan content.

This permission does not transfer ownership of GravePark materials.

You may not use GravePark content in a manner that falsely suggests sponsorship, endorsement, partnership, or official affiliation with Goathead.

You may not use GravePark assets to manufacture, promote, or sell unauthorized merchandise or other commercial products without written authorization.

Goathead may revoke this permission where content involves piracy, confidential materials, unreleased content, fraud, intellectual-property infringement, or misuse of Goathead branding.

8. CONFIDENTIAL AND UNRELEASED MATERIAL

Access to unreleased GravePark content does not give you permission to publicly disclose it.

Development builds, internal screenshots, unpublished locations, internal documents, development materials, test builds, source files, production assets, passwords, private links, business information, upcoming features, unreleased music, and other non-public materials may be confidential.

Unless Goathead provides written authorization, confidential or unreleased materials may not be copied, recorded, published, distributed, sold, leaked, transmitted, or disclosed to third parties.

Separate confidentiality or nondisclosure agreements may impose additional obligations.

9. MUSIC, ARTISTS AND THIRD-PARTY CONTENT

GravePark may incorporate music, performances, photographs, artwork, artist names, likenesses, trademarks, or other materials licensed from third parties.

The inclusion of such material does not imply that Goathead owns the underlying copyright, composition, sound recording, likeness, trademark, or other intellectual property unless expressly stated.

Music placements, artist appearances, brand integrations, sponsorships, promotional partnerships, licensing arrangements, and other commercial relationships may be governed by separate written agreements.

These Terms do not create a recording agreement, publishing agreement, management relationship, partnership, employment relationship, joint venture, or agency relationship between Goathead and any user or artist.

10. PAYMENTS

Certain features, products, digital content, memberships, merchandise, or other portions of the Service may require payment.

Prices will be disclosed before purchase and may change from time to time.

By completing a purchase, you authorize Goathead and its applicable payment processors to charge the displayed amount and applicable taxes to your selected payment method.

Third-party payment processors, application stores, or marketplaces may impose additional terms and conditions.

The reference terms similarly authorize third-party processors to collect charges associated with purchases.

11. DIGITAL PRODUCTS AND VIRTUAL ITEMS

GravePark may offer downloadable content, digital products, premium features, virtual objects, cosmetics, passes, or other digital items.

Unless otherwise expressly stated, virtual items have no cash value, may not be exchanged for currency, and do not constitute ownership of property outside of the Service.

Purchasing or obtaining a virtual item grants only a limited right to use that item within the applicable Service.

Goathead may modify or discontinue virtual items or digital features as part of operating and developing GravePark, subject to applicable law.

12. REFUNDS

Refund eligibility may depend upon the product purchased and the platform through which the transaction occurred.

Purchases completed through Apple, Google, Steam, payment processors, console platforms, marketplaces, or other third-party services may be governed by those platforms’ refund policies.

Except where otherwise stated or required by law, delivered, downloaded, consumed, accessed, or activated digital products may be non-refundable.

Separate professional services, Goathead programs, artist services, merchandise, memberships, or contractual arrangements may be subject to separate refund policies.

13. PROHIBITED CONDUCT

You may not use the Service to engage in illegal activity, infringe another person’s rights, distribute malicious software, disrupt servers or networks, gain unauthorized access to accounts or systems, impersonate Goathead personnel, commit fraud, distribute pirated copies of the Service, evade technical restrictions, or commercially exploit Goathead intellectual property without permission.

You may not interfere with another user’s use of the Service or attempt to discover restricted source code or confidential systems except where such activity is expressly protected by applicable law.

You may not attempt, encourage, facilitate, or assist another person in engaging in prohibited conduct. These restrictions are adapted from the prohibited-conduct provisions in the reference terms.

14. FEEDBACK

If you voluntarily provide Goathead with ideas, recommendations, suggestions, improvements, bug reports, concepts, or other feedback concerning GravePark or the Service, you grant Goathead a worldwide, perpetual, irrevocable, transferable, sublicensable, fully paid, royalty-free right to use, reproduce, modify, develop, publish, commercialize, and otherwise exploit that feedback without compensation or obligation to you.

Do not submit confidential creative material unless Goathead has expressly agreed in writing to receive it confidentially.

15. UPDATES AND CHANGES TO THE SERVICE

Goathead may update, modify, rebalance, replace, remove, suspend, or discontinue any part of GravePark or the Service.

This may include characters, locations, music, game mechanics, visual elements, stories, digital items, interfaces, online systems, functionality, and technical requirements.

Updates may be required to continue accessing the Service.

Goathead does not guarantee that any particular feature, character, chapter, asset, item, or version will remain available indefinitely.

16. AVAILABILITY

The Service is provided subject to technical limitations and availability.

Goathead does not guarantee uninterrupted access.

Maintenance, updates, internet connectivity, hosting providers, hardware compatibility, third-party platforms, security events, technical problems, or circumstances outside Goathead’s reasonable control may temporarily or permanently affect availability.

17. TERMINATION

Goathead may suspend, restrict, or terminate access to the Service where permitted by law, including in connection with violations of these Terms, fraud, abuse, security risks, legal requirements, or discontinuation of the Service.

Upon termination, your license to use the affected Service terminates.

Any provisions concerning intellectual property, confidentiality, payments already incurred, feedback, disclaimers, limitation of liability, indemnification, and dispute provisions will survive where applicable.

18. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, GRAVEPARK, AND ALL CONTENT MADE AVAILABLE THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

GOATHEAD DISCLAIMS ALL WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GOATHEAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY DEVICE, OR FREE FROM DATA LOSS, TECHNICAL DEFECTS, OR SECURITY VULNERABILITIES.

Your use of the Service is at your own discretion and risk. The reference terms similarly provide the underlying service on an “as is” and “as available” basis.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOATHEAD, GOATHEAD MEDIA, THEIR AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, DEVELOPERS, LICENSORS, ARTISTS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICE.

This includes loss of profits, revenue, business opportunities, data, digital content, goodwill, or other intangible losses.

Nothing in these Terms limits liability that cannot legally be excluded or limited under applicable law.

20. INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Goathead, Goathead Media, GravePark, their affiliates, owners, officers, employees, contractors, developers, licensors, representatives, and agents against third-party claims, liabilities, damages, losses, judgments, expenses, and reasonable attorneys’ fees arising from your misuse of the Service, violation of these Terms, violation of applicable law, or infringement of another person’s intellectual property, privacy, publicity,

confidentiality, or other rights.

21. PRIVACY

Your use of the Service is also subject to the applicable Goathead Privacy Policy.

The Privacy Policy describes Goathead’s collection, use, processing, storage, and disclosure of information relating to users.

22. ELECTRONIC COMMUNICATIONS

By using the Service, you consent to receiving electronic communications from Goathead where permitted by law.

Electronic communications may include agreements, notices, service announcements, account messages, receipts, disclosures, and other information.

You agree that electronic communications may satisfy legal requirements that communications be provided in writing where applicable.

23. CHANGES TO THESE TERMS

Goathead may modify these Terms from time to time.

The date displayed at the top of these Terms indicates the most recent revision.

Where required by law, Goathead will provide reasonable notice of material changes.

Your continued use of the Service after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

24. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent permitted by law, any lawsuit or court proceeding arising from or relating to the Service or these Terms will be subject to the jurisdiction of the appropriate state or federal courts located in Los Angeles County, California.

The reference agreement likewise uses California law and California courts as its governing-law framework.

25. CALIFORNIA RESIDENTS

California residents may have additional rights under California law.

Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at:

Nothing in these Terms waives consumer rights that cannot lawfully be waived. The reference terms also provide a California consumer complaint notice.

26. INTERNATIONAL ACCESS

The Service may be accessible from locations outside the United States.

Goathead does not represent that GravePark or all aspects of the Service are appropriate or legally available in every country or territory.

Users accessing the Service outside the United States are responsible for complying with applicable local laws.

27. NO PARTNERSHIP OR AGENCY

Using GravePark or another Goathead Service does not create an employment, agency, franchise, fiduciary, partnership, joint venture, management, or other business relationship between you and Goathead.

Any commercial partnership must be separately authorized in writing.

28. ASSIGNMENT

You may not assign or transfer these Terms or your rights under them without Goathead’s prior written consent.

Goathead may assign these Terms in connection with a corporate restructuring, financing, acquisition, merger, transfer of intellectual property, sale of assets, or similar transaction, subject to applicable law.

29. SEVERABILITY

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the greatest extent permitted by law and the remaining provisions will remain in full force and effect.

30. WAIVER

Goathead’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

31. ENTIRE AGREEMENT

These Terms, together with the applicable Privacy Policy and additional policies expressly incorporated by reference, constitute the agreement governing your ordinary use of GravePark and the Service.

Separate agreements relating to artists, music licensing, contractors, employees, professional services, sponsorships, commercial placements, investors, partners, licensors, or other business relationships remain governed by those separate agreements.

Where an authorized written agreement between Goathead and another party conflicts with these Terms regarding the subject matter of that agreement, the separate written agreement will control for that subject matter.
